Previously on the blog we reported on the concessions for holding members meetings such as AGMs remotely despite there being no permission to do so in the governing document such as Articles. 

Those concessions from the Corporate Insolvency and Governance Act 2020 and Regulations ceased for Companies on 30 March and for community benefit societies and some other bodies on 29 March 2021. This has not been extended for Northern Ireland as yet. 

In order to make sure you can legally hold such meetings you may need to alter your governing document to permit remote or virtual meetings of members to be held or a hybrid meeting partially in person with some members attending remotely -particularly if the social distancing regulations do not allow the numbers of members to meet together in person.
